Terms of service & EULA

Last updated 5 October 2026

Please read this agreement carefully.

By downloading, installing, accessing or using the Thresh application, you agree to be bound by these Terms of Service and End User License Agreement (“Terms” or “EULA”). If you do not agree to these Terms, do not install or use Thresh.

These Terms constitute a legally binding contract between you and Thresh, and incorporate the standard Apple App Store Licensed Application End User License Agreement terms as set forth in Schedule 2 of the Apple Developer Program License Agreement.

1. Eligibility & accounts

  1. Age requirement: you must be at least 13 years of age (or 16 years of age in the UK, EEA or other jurisdiction requiring a higher age of digital consent) to create an account or use Thresh. By using Thresh, you represent and warrant that you meet this age threshold.
  2. Account security: you are responsible for safeguarding your login credentials. You are solely liable for all activities that occur under your account. Notify privacy@jointhresh.com immediately upon suspecting any unauthorized access.
  3. Master accounts: Thresh designates designated administrative credentials (privacy@jointhresh.com) reserved for system moderation, security audits and critical platform health interventions.

2. The threshold engine & event lifecycle rules

  1. Conditional event commitment: events created on Thresh operate under conditional headcount thresholds (“Thresholds”). An event in the “Inviting” status represents an unconfirmed proposal.
  2. Lock-In state: when the number of confirmed attendees reaches the host's specified threshold before the expiry deadline, the event transitions to “Locked In”. At this moment:
    • The plan is confirmed.
    • Secret location details and full door access instructions are revealed to confirmed attendees.
    • Pre-authorized deposit holds or ticket payments (if configured) are captured.
    • The dedicated event chat opens or unlocks full media capabilities.
  3. At-Risk state & overtime: if an attendee drops out after an event is Locked In, dropping attendance below the threshold, the event enters an “At Risk” state. A dynamic countdown window activates:
    • The host and crew are alerted to recruit standby guests.
    • If the threshold is not restored before the countdown expires (or within 1 hour of event start time), the event is formally Dissolved.
  4. Dissolution: when an event dissolves due to an unmet threshold, all pending authorizations and financial holds are automatically voided or refunded in full, and secret venue details remain hidden or are immediately revoked.
  5. No-show & Vibe Score penalties: dropping out of a Locked In event without host consent or failing to attend after locking in negatively impacts your platform Vibe Score and may restrict your eligibility for future high-demand events.

3. Financial terms, Deposit & Hold and split payments

  1. Stripe integration: payment processing is powered by Stripe. When you submit payment information, you authorize Thresh and Stripe to pre-authorize your card and charge the authorized amount upon threshold fulfillment.
  2. Deposit & Hold mechanic:
    • A host may attach a per-person deposit or ticket fee to an event.
    • When you RSVP, funds are pre-authorized on your payment method.
    • If the event dissolves or threshold is not met: the authorization hold is cancelled. You incur zero financial charge.
    • If the event Locks In: the pre-authorized funds are captured.
  3. Dynamic group split calculation:
    • Where costs are divided equally among locked-in guests, shares are calculated dynamically in integer pence / cents.
    • A platform processing fee of 3.5% is deducted to cover payment infrastructure and card network fees.
    • Residual odd pennies resulting from division are allocated sequentially to the earliest locked-in RSVPs.
  4. Refund policy: once an event is Locked In, guest deposits and ticket payments are non-refundable, except where: (a) the host cancels the event; (b) the host reschedules the date or time by more than 3 hours without attendee consent; or (c) the host explicitly approves a refund. Thresh does not mediate interpersonal payment disputes.

4. Invitation permissions, door passes & offline venue mode

  1. Host-controlled invitations: by default, only the primary event host has the authority to issue invitations.
  2. Invite link forwarding: if an attendee forwards an invite link for an event with “Open Invitations” disabled, recipients cannot directly RSVP. They are placed into an invite_requests queue. Only the host (not co-hosts or crew) holds the authority to approve or decline access requests.
  3. Door passes & anti-passback: attendees receive dynamic rotating QR codes (10-minute refresh) and/or Web NFC passes. Passes are strictly personal and non-transferable. Attempting to scan duplicate, screenshotted or expired QR codes constitutes a breach of these Terms and grounds for immediate venue denial and account suspension.
  4. Offline mode: in low-connectivity venues, door hosts may validate passes against an encrypted local roster cached up to 4 hours prior to the event. Offline validation records are synced and reconciled automatically upon reconnection; duplicate offline scans will be flagged for review.

5. 4-Day Memory Capsule & content policies

  1. 96-hour upload window: following the official end time of an event, locked-in attendees gain access to the event's 4-Day Memory Capsule. Attendees may upload photos, videos and recaps during this 96-hour window.
  2. Sealed vault: exactly 96 hours after event conclusion, the Memory Capsule is permanently sealed. No further media may be added, edited or deleted (except through account deletion or formal copyright removal requests).
  3. Exclusivity: content within the Memory Capsule is viewable solely by users who were locked into that specific event. It is strictly prohibited to screenshot, export or publish other attendees' private recap media to public forums or social networks without their express prior consent.

6. User content & license grant

  1. Ownership: you retain complete ownership of any text, photos, video clips and audio notes you upload to Thresh (“User Content”).
  2. Limited license: by submitting User Content to Thresh, you grant us a worldwide, non-exclusive, royalty-free, limited license to host, store, cache, compress, display and transmit your User Content solely for the purpose of operating the Service and delivering event content to you and your authorized event co-attendees in accordance with your privacy settings and the event rules. This license terminates when you delete your content or your account.

7. Code of conduct & zero-tolerance moderation

Thresh strictly enforces Apple App Store Guideline 1.2 and Google Play policies regarding user safety and objectionable content. There is ZERO TOLERANCE for objectionable, abusive or unlawful behavior.

You agree that you will NOT:

  • Post or transmit content that is defamatory, obscene, pornographic, sexually explicit, harassing, hateful, threatening, discriminatory, or promoting self-harm or violence.
  • Create fraudulent, misleading or deceptive events or invitations.
  • Organize events intended for unlawful purposes, non-consensual activities, or the distribution of controlled substances.
  • Bully, stalk, dox or intimidate any user or host.
  • Attempt to bypass threshold restrictions, forge QR door passes, reverse-engineer encryption mechanisms, or abuse API endpoints.
  • Publicly leak or publish confidential addresses of “Secret Location” events without host authorization.

Moderation & enforcement procedures:

  • Immediate in-app reporting: any user can report an event, message, media upload or profile with a single tap using our contextual reporting interface.
  • Review SLA: reported content and users are reviewed within 24 hours by platform moderators.
  • Instant silent blocking: users can immediately and silently block any individual. Blocked users are instantly prevented from contacting you, viewing your profile or joining events where you are host.
  • Enforcement actions: Thresh reserves the absolute right, without prior notice, to:
    • Remove or redact any offending content immediately.
    • Eject attendees from active events and revoke door passes.
    • Issue formal warnings and decrement Vibe Scores.
    • Temporarily suspend or permanently terminate user accounts.
    • Report criminal activity to law enforcement authorities.

8. Disclaimer of in-person event liability & safety

  1. Thresh is a software platform only: Thresh is an online coordination and ticketing technology platform. Thresh is not an event organizer, promoter, venue operator, employer or security provider.
  2. In-person gatherings & assumption of risk: physical attendance at social gatherings, parties, dinners, trips or venue events involves inherent risks, including property damage, bodily injury, illness or interpersonal disputes. You voluntarily assume all risks associated with attending any event arranged or coordinated via Thresh.
  3. Host responsibility: hosts are solely responsible for ensuring that their venues are safe, legally compliant, possess all necessary permits and licenses, and adhere to venue capacity limits and local regulations.
  4. No background checks: Thresh does not conduct criminal background checks or physical verifications of hosts or attendees. Exercise reasonable personal judgment and caution when meeting people offline.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. IN NO EVENT SHALL THRESH, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
  2. IN NO EVENT SHALL THRESH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO THRESH IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) FIFTY BRITISH POUNDS (£50.00 GBP).
  3. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER ENGLISH LAW.

11. Indemnification

You agree to indemnify, defend and hold harmless Thresh and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your conduct at or organization of any offline event coordinated through Thresh.

  8. Third-party beneficiary: you acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
